I updated my cargo cover earlier this year to the newer cover, man was it worth it, what the hell was BMW thinking with that freaking accordion cover! I'll try to answer your questions, also there's a DIY in the How To's section, but be warned the guy that wrote it screwed up one of the part numbers so use the Real OEM website numbers.
1. Simply buy the new side covers in the color that you need from your dealer or whomever you choose.
2. Underneath the cover there is an aluminum bar that the new cover is bolted to, the screw holes will not line up if you try to use the new cover with old bar. Now I was lucky and found a salvage 2006 X5 at my local salvage yard so I bought the bars from it for $20. But you can simply (what I should have done) put the new cover on the old bar and drill new holes, be sure and use as close a size drill bit as possible, a little smaller is better than too big as the screws are self tapping, and you're done.
3. When you remove the cover naturally there is a square shaped hole that is open, but I definitely wouldn't call it gaping by any stretch of the imagination.
4.I bought my cover used on Ebay, they cost way too much from the dealer new.
5. I sold my old cover on Craigslist for close to what I paid for the new cover...lol!
