What do you think of this deal? 05' 4.4i Need help fast

I've been in the market for a either a new MY06 or CPO 05 4.4i recently. I want Premium,coldweather,heated steering wheel and nav. The dealer that I bought my 3 series from got a trade in from one of their high end 5+new car/year clients yesterday. It's Sterling gray, black leather, Premium, Cold weather, Rear climate, heated steering wheel, and navigation. It has 8,600miles on and it's pristine, It's certified..and they want $48,995. The best part is there are dvd players/lcd's in the headrests..2 of them. What does everyone think about this deal??? I'm supposed to go in tomorrow @ 9am to test drive it again. The salesman that I've dealt with before said that they priced it before they knew about the rear entertainement..so there wouldn't be a lot of room for negotiation..and she said that someone tried to pull the trigger on it today but there financing fell through...are these just dealer schemes. I know from edmunds/nada etc. that this is a decent price for the vehicle..what does everyone think??? Need help fast
