2002 4.6 - Fair Deal?

We purchased a very low mileage (less than 10K miles) 2001 4.4 about a year ago and the wife and I really like it a lot. The wife's lease on her 2004 Jeep Grand Cherokee Overland is about to expire and we are thinking of replacing it with another X5. We have found a CPO 2002 4.6 with NAV (must have) with 33,000 miles for $36K at a dealer. It looks to be in very nice shape, a few minor scrapes here and there. Oddly, the most worn area is the black rubber trim rail under the driver side door. The CPO warranty is good for about another year. Any thoughts on this deal? I would consider buying newer but have read too many issues regarding transmission programming, plus we really like the looks of the 4.6 package. By the way, if anyone is selling an ultra low mileage 4.6 (black or silver with NAV), please let me know. Appreciate all thoughts on this vehicle and this deal. Thanks so much.
