X3 or X5 ?

I have the opportunity to trade in my 2004 X3 3.0 ( premium & cold, 11,600 miles) for a new 2005 X5 3.0 (premium & cold) for $13,620.00.
I know the X5 will be trading up, window sticker is $49,370.00, is this a good deal? Any negatives with the X5 that I should be aware of?
I would appreciate any thoughts at this point, I need to call the dealer back in the morning....

a 2006 bmw X3 3.0 with premium and cold pkg goes for 47,300 on the BMW website. There is a $5000 dealer marketing incentive(translate rebate to you) on all 2005 X5 3.0, which would make it $42,300 for a 2005(calculated with 2006 price). This is a very bad deal.

The X5 also includes automatic, rear climate, Xenon and heated wheel...
