How To Change The GMIII or GM3 Module

I am convinced I have a failing GMIII. I want to replace it with another GMIII, but not sure if it would require "programming" other than possibly assigning a key. Has anyone changed one of these, and was INPA or DIS necessary?

I also have a failing GM3, but my supplier says that as long as the part numbers match it will not require coding.

Is he high?
