negotiating CPO price

I have found a nice CPO 2002 X5 3.0 40k miles, sport pkg at a local dealer. They are listing it at an ok price of $26.9. I will be looking at it tomorrow and if my wife and I like it, we may make an offer. I have a feeling that they are having trouble moving X5's due to the price of gas and the new model around the corner. What would be a good starting offer? I wanted to start out at $23.5. I have a feeling that they picked it up off lease with a resid. of $19-20k.
