Need Advice-Close to Pulling Trigger on a 2006 X5

Please share your thoughts on the following, I'm very close to putting together a deal here....

2006 Black/Black X5 15k miles
Cold Weather Package
NAV
Six Disk Changer
$32,995 + 7% NJ Tax (1st 2 payments made by BMUSA), 2.9% financing over 5 years...4 yr. 100k miles warranty......

Is this a good deal? If this is their final number are there any extras I can ask for? Longer warranty, etc.?? Thank you!!!
