Need advice - 2006 X5 4.4i purchase

I am looking to trade my 300c SRT8 for a 2006 X5 4.4i with 70K miles on it.

Need some advice, after going through all the postings in the forum, seems like a really reliable vehicle. The dealer is listing the car for 23,995 and I probably can negotiate to a bit lower.

Anything i should look for, this one has 19" sport wheels, nav, and all the major options, etc.

Is 70K mileage too much? please help.
