See how much you can save on taxes campared to what you can get in private market. When I sold my 4.4i privately the dealer was offering $4500 less than what I sold for. $tealer offer not enough for trade-in tax savings. You can usually get more money by selling privately.

Wow, thanks everyone for all replies! I'll try to squeeze a bit more out of the dealer, but looks like the prices in Midwest are a bit lower than on the west coast. As far as the tax savings, like I mentioned in my original post are about $3000, so it adds up to about $35k. On cars.com I've seen few '03 4.6is' priced as high as 46k and some as low as 35k.
