SO, I got the metal surround (housing), ring clamps, rubber elbow and a little re-usable K&N little air filter D401-0304 (which is useless for me I believe). But $250 and buying a Dinan filter (D403-0410)myself is still cheaper than an AFE set-up.
The filters are very dirty so I just washed them twice in Dawn dish detergent and let them air dry. Will install this weekend.
price for new filter is just $40 USD but shipping to me is $32 USD so I'll just wait till im in Vegas this winter to get free shipping to hotel. why not right...

Also the seller has a Dinan exhaust set-up from mid point connection back that he is selling for $600...
I have a 4.8iS exhaust on my X5 now so I'm wondering if any difference in sounds to go to that Dinan exhaust set-up?
No I'm not cutting the factory Resonators out and putting an X or H pipe in.

You can put the exhaust for the 4.4i (M62) on the 3.0, it bolts right up.

Other than that the only Dinan parts for the M54 are the high flow throttle body and software (K&N drop in filter recommended for the M54) - I toyed with the Throttle Body but finding it used is impossible and its not worth $850 to me - I'll just get a Shark Injector tune as its more aggressive than Dinan Software

update.
I installed the Dinan CAI successfully finally and covered up a few holes the metal plate has for a pre-facelift model (that I don't need for my facelift model) and I have to say, the car sounds differently now for sure when under heavy acceleration (I have the 4.8iS exhaust on my 4.4i) and I can't believe now much.
I'm on the fence if I like it better. It growls a bit more like an american vehicle now than what the 4.8iS normally rumbles like...
I am trying not to say this next comment as I worry it may be in my head but it DOES certainly feel like I am getting more power (umpfff) when at 3k rpm and more too tho. No idea on fuel milage as I have a heavy right foot.
overall it was worth the $250 CAD I paid for this but I'd probably not buy it if it cost more than that as I am NOT putting the Dinan exhaust or Throttle body and software on either. too expensive

a wish for this Dinan shielded plates tho... the factory air cowl and flexible arm that went to the factory air box are no longer beneficial to the air intake system, when you install this Dinan CAI set-up. I wish the Dinan's side shield/plate had a hole cut in it to accept the cowl's flexible arm tho. The air flowing into the cowl now just enters the engine bay (hopefully cooling down the engine bay). It seems like a lost air supply for the Dinan CAI to utilize as the only air the Dinan CAI now gets is anything that sneaks into the "box" from behind the right side light and from what I can see there is not a lot of open holes to allow cool air to quickly enter this air "box" therefore having this cowl's arm supplying air would be sensational way to ensure cooler air was entering and at a quicker flow rate too.
The AFE Stage 1 kit for the V8 has the benefit of using air from the air cowl. See pic.
Since on the side of the Dinan air box, there is a gap/hole/missing metal chunk at the top, I am thinking a nice small "deflector" could be made up and attached to the Dinan air box to accept the air cowl's flow.

cool good to know, i went once to get the dinan software during a sale but they had an issue and told me to return. ill take your word. will any dinan strut bar fit for 3.0? i know it doesn't do much but i like the look in the engine bay

So I have to ask, even thou I believe I know the answer...
I put the Dinan CAI on the 4.4 and right away, I will admit, I felt more powerful acceleration, especially in mid RPM range.
BUT now after 2 weeks of using it, the power seems to not be so responsive...
Is it that I'm just used to it, OR is it that the vehicle's computer modified something to adjust for the supposed extra air intake and therefore reverting the acceleration back to where it was with the stock air box?

Is this why the Dinan software 2 is worth the upgrade as it modifies something to do with extra air intake?

The ECU most likely needed to adapt and you're by now "used to" the couple extra ponies you may have gotten. You havent lost any gains IMO

RB, the adaption of the ECU, is what I thought. so not as much fun by the CAI addition anymore ;(.
I'm debating on spending the $800 CAD to get that Software Level 2 installed... but I already have my vehicle tuned and the Dinan software will overwrite that...

before the ECU adapted the exhaust note was different and has since quietened down again. Not a bad thing, but just a second thing I noticed with the lack of new acceleration feel.
